CoWalk Terms of Use

These Terms of Use ("Terms") form a legally binding agreement between CoWalk Ltd. ("CoWalk", "we", "us") and the entity or individual ("Customer" or "you") that accesses or uses the Service. By accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.

1 Definitions

Account: digital credentials enabling access to the Service

End User: an individual who interacts with a CoWalk AI Product Expert embedded in a third-party application controlled by Customer

Output: any text, code or other content generated by the Service

Documentation: user guides, FAQs and policies published by CoWalk

2 Eligibility and Account Security

You represent that you are at least 18 years old and have authority to bind the Customer entity. You are responsible for all activity that occurs under your Account and for keeping credentials confidential.

3 Licence Grant

CoWalk grants you a non-exclusive, non-transferable, revocable right to access and use the Service and Documentation during the subscription term solely for your internal business purposes and in accordance with these Terms.

4 Acceptable Use

You agree not to:

CoWalk reserves the right to suspend or terminate access for violations.

5 Customer Content & AI Output

Ownership. You retain all rights in Customer Content

Licence to CoWalk. You grant CoWalk a worldwide, royalty-free licence to use Customer Content solely to provide and improve the Service, including to train models in aggregated or anonymised form

Output. Subject to your compliance with these Terms and applicable law, CoWalk hereby assigns its rights in the Output to you. You are responsible for reviewing Output for accuracy and compliance with law before use. Output may be inaccurate or misleading, and you assume all risk arising from its use.

6 Fees & Payment (if applicable)

Fees are set out in an order form or pricing page. Unless otherwise stated, fees are non-refundable and exclusive of applicable taxes. Overdue amounts accrue interest at 4.5 % per month.

7 Service Availability & Support

We target 99.5 % monthly uptime but do not guarantee uninterrupted service. Planned maintenance will be scheduled outside peak hours where possible. Support is available via email at contact -at- cowalk.ai.

8 Intellectual Property

The Service, including all underlying technology and trademarks, is owned by CoWalk and its licensors. Except for the limited licence granted, no rights are transferred to you.

9 Third-Party Services

The Service may interoperate with third-party software ("Third-Party Services"). Your use of Third-Party Services is governed solely by their terms. CoWalk is not responsible for Third-Party Services.

10 Confidentiality

Each party must protect the other party's non-public information using reasonable care and may use such information only to exercise rights and perform obligations under these Terms.

11 Privacy & Data Protection

CoWalk will process Personal Data in accordance with our Privacy Policy, incorporated by reference. Customer represents that it has a valid legal basis to provide Personal Data to CoWalk.

12 Warranties & Disclaimers

The Service and Output are provided "AS IS" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. CoWalk does not warrant that the Service or Output is accurate, complete or error-free.

13 Limitation of Liability

To the maximum extent permitted by law, CoWalk's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) USD 1,000 or (b) the fees paid by Customer to CoWalk in the 3 months preceding the claim. CoWalk will not be liable for indirect, incidental, special or consequential damages, including lost profits or business interruption.

14 Indemnification

Customer will defend and indemnify CoWalk against third-party claims arising from: (a) Customer Content; (b) Customer's breach of these Terms; or (c) use of the Service in violation of law.

15 Term, Suspension & Termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach after 15 days' written notice. Upon termination, licences cease and Customer must delete all confidential information. Sections 5, 8, 10, 12–19 and 23–30 survive termination.

16 Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, labour disputes or internet failures.

17 Assignment

You may not assign these Terms without CoWalk's prior written consent. CoWalk may assign these Terms in connection with a merger, acquisition or sale of assets.

18 Severability & Waiver

If any provision is unenforceable, the remainder of the Terms will remain in effect. Failure to enforce a provision is not a waiver.

19 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Israel, excluding conflict-of-laws rules. The courts of Tel Aviv have exclusive jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20 Modifications to Terms or Service

We may modify the Service or these Terms by posting an updated version on our website and, for material changes, providing 15 days' notice. Continued use after the effective date constitutes acceptance.

21 Notices

Notices to CoWalk must be sent to legal@cowalk.ai and will be deemed given upon receipt. We may provide notices via email to your account email or via the Service.

22 Entire Agreement

These Terms, the Privacy Policy and any applicable Order Form constitute the entire agreement between the parties and supersede all prior agreements relating to the Service.

23 Feedback

If you elect to provide suggestions, comments or ideas about the Service ("Feedback"), you grant CoWalk a perpetual, irrevocable, royalty-free licence to use and exploit the Feedback for any purpose without obligation to you.

24 Beta & Evaluation Services

CoWalk may offer beta, trial or evaluation features ("Beta Services"). Beta Services are provided as-is, may be discontinued at any time and are excluded from any service-level commitments.

25 Export Compliance & Sanctions

You may not access or use the Service in violation of any applicable export laws, sanctions or embargoes, including those administered by the U.S. Department of Commerce, U.S. Treasury or Israeli Ministry of Economy.

26 Publicity Rights

With Customer's prior written consent, CoWalk may identify Customer as a user of the Service and display Customer's name and logo on CoWalk's website and marketing materials. Customer may withdraw consent at any time.

27 Anti-Corruption & Compliance

Each party represents that it has not received or been offered any illegal or improper bribe, kickback, payment, gift or thing of value from any employee or agent of the other party in connection with these Terms. Reasonable gifts and entertainment provided in the ordinary course of business do not violate the above restriction.

28 Open-Source Software

The Service may include open-source components, which are provided under the terms of the applicable open-source licences. Nothing in these Terms limits your rights under such licences.

29 Copyright & DMCA Notices

CoWalk respects intellectual-property rights. If you believe content available through the Service infringes your copyright, please send a notice to contact -at- cowalk.ai with the information required by 17 U.S.C. § 512(c)(3).

30 Survival

Upon any termination of the Service or these Terms, any provision that, by its nature, should survive will survive, including Sections 5, 8, 10–14 and 23–30.
